CUNILL AMERICA INC: Services / Terms & Conditions of Sale - Rev. Jan 2010 .

DIRECT TO CUSTOMER (Drop Ship): Cunill America will ship direct to your customer upon request. A handling fee of $10.00 will be added to the invoice along with the standard ground freight service charges (unless otherwise specified).

ENGRAVING: Engraving services are available using method of choice: laser, machine or hand. See the attached engraving order form for details.

CUSTOMIZED BRANDING (Private Label): Cunill America offers co-branding or exclusive custom branding with the brand/logo of choice. Custom brands can be applied to most items in some form; applied to the silver, frame face paper, custom stamped gift boxes and/or modified colors. Specific costs to be determined depending on modifications requested and projected units. .

OPENING ORDER INFORMATION: Requested minimum opening order is $500 net which represents a reasonable initial presentation of our products at retail. Exceptions should be negotiated with your sales representative, and accounts previosuly assoctiated with Cunill prior to the start of Cunill America Inc Jan 2007, will be considered "current" accounts. Opening orders can be paid by credit card, or payment terms available upion completion and review of our new dealer application. REORDER MINIMUM: Requested size of reorders is $150.00 net. Orders under the minimum are subject to a $10.00 handling fee. The fee will be waived when a drop ship fee applies.

TERMS: Opening orders can be paid by Credit Card, Paypal (web orders) or converted to open account if preferred, pending acceptance and approval of credit references. Once credit has been established payment is strictly required within our standard 30-day term. Cunill America accepts Master Card, Visa, American Express, and Discover. Payment to: Cunill America, 21 Mohawk Plaza, PMB# 305, Greenfield MA 01301 Checks returned for insufficient funds will be subject to a $20.00 processing fee and will result in the loss of Net 30 terms.

SHIPPING METHODS & LEAD TIMES: Cunill America uses UPS ground as a standard carrier service. Other services can be used upon request. Expedited freight methods can be requested with the additional costs being the responsibility of the dealer unless other circumstances apply in which Cunill America agrees to pay. Freight charges will be added to invoices unless 3rd party account billing is previously noted. Invoices will be issued at time of shipment and are attached to lead carton and also mailed by postal mail. Invoices can be sent by email upon request.

DAMAGES: All requests for return of merchandise due to damage or defect should be made within 30 days of receipt. Please retain all original packing materials and cartons and return the product packed with proper care in order to avoid further damage in transit. Contact our headquarters in Greenfield MA for a pre-paid return label which can be sent via email, fax, or mail. Please refer to your invoice number and style number as well as quantity and description of the problem.

SUGGESTED RETAIL PRICING: Cunill America requests that our retail partners stay within reasonable range of our suggested retail price with due respect for the product value and brand name.

DEALER NET PRICE LIST: Cunill America reserves the right to modify prices in accordance with the official sterling market and without prior notice. Full efforts will be made to publish price changes well in advance of effective date. Price lists are available electronically upon request, sent by email or disk.

PRODUCT IMAGES: For digital images of our products, please request a disk or to be sent by email.
